Definitions Current Terms and Conditions constitute the Agreement between Designer and Client, with mutual obligations described in details below.
1. Object of Agreement The object of this agreement is the website and other associated services ordered by Client and provided by Designer for consideration. Agreement object is described in details in the section "Services provided by Designer". Services not mentioned in this document are not part of this Agreement.
2. Services provided by Designer Designer provides the following services to Client: 2.1 Verifies the validity of domain and server information provided by Client or, if they are not provided by Client, registers a new domain and new virtual server.
3. Materials provided by Client 3.1 Client provides either correct domain and server information or requires the Designer to register the domain and order the hosting server. As Designer only helps to find and register the most suitable hosting service provider, it is not providing the hosting service itself, nor does it cover the costs thereof. 3.2 Designer can register the domain only if the domain desired by Client is freely available. Designer registers the domain to the Client's name. 3.2 Client specifies which name should appear on logo or uploads logo file with usable resolution and format. Designer makes changes in identity elements (2.3) only if Client has sent usable materials for changes. 3.3 Designer assumes that Client has the right to use all provided materials on the website. 3.4 Designer will not be responsible for verification of any other information provided by Client, except domain and server (2.1).
4. Duration of website installation 4.1 The standard period for providing the services in clauses 2.1-2.9 is three workdays. 4.2 Designer will provide services in standard period after Client has provided the information described in clause 3.1 (domain and server information) and made full payment for the relevant order. 4.3 If Client does not provide valid domain and server information, Designer will send a notice by e-mail to inform Client about specific missing information.
5. Payment for services 5.1 Client pays for services in step 3 of the ordering process. The sum of the payment is based on the prices provided in design catalogue, extra fees may be added if Client requests time consuming modifications or wishes to acquire exclusive rights over ordered design. 5.2 The ordering form uses secure payment gateway that makes credit card transactions directly and securely with the bank. Designer does not see, record or store credit card information in any form. Designer just gets an approval or denial from the Paypal Gateway. 5.3 There are number of universal payment options offered in order to make the required payments, Paypal account is not obligatory.
6. Nature of order 6.1 In order to test the functionalities, Designer makes fully functional demo sites available for everyone interested. It is Client's responsibility to make sure, before placing the order, that this particular content management system has all the necessary features that Client needs. 6.2 Client confirms by agreeing with current Terms and Conditions that functions available in demo site are in accordance with Client's needs. Client's new website will feature exactly the same content management functionalities as in demo sites. 6.3 Client understands that ordering involves services which are provided by Designer exclusively to specific Client. These services, including checking domain and server data, installing website to Client's server, making modifications to graphic elements, creating sql database structures, making server-specific configurations, testing functionalities, creating administrator attributes and informing Client about website attributes, need the effort and time of Designer. 6.4 Client understands that payment for the order is fair compensation for using exclusive services and time provided by Designer.
7. Quality control, feedback and user support 7.1 Designer sends confirmation concerning provided services (clauses 2.1-2.8) to Client by e-mail; it also includes website specific login information. 7.2 Client is responsible for informing Designer about perceived differences in functionalities compared to demo sites' functionalities which were available before ordering. Designer provides free technical guarantee within 60 days as of the installation of the website. 7.3 If functionalities are not working because of lack of support in server environment, Designer may suggest moving the website to another server. Designer does not charge extra fee for moving website to another server. 7.4 Designer offers content management instructions, which are available on Client's website. Some topics are described more thoroughly in Designer's website section "Knowledge base". In case Client has unanswered questions after reading instruction materials and searching for answers in knowledge base, Designer also provides user support by e-mail and phone. 7.5 Client has the right to use user support without extra charge within 60 days as of the installation of the website.
8. Final notes 8.1 Current document regulates relations between Client and Designer from the moment the order is placed and the payment made by Client. 8.2 Agreement is valid until the duties are performed by both parties. 8.3 Any amendments to current Agreement must be agreed on by both parties in written format by e-mail. 8.4 Designer has the right to make the amendments to this document at any time. Orders placed before the amendments will be filled according to the agreement version that was valid at the time of placing the order. Designer makes older versions of Agreement available by e-mail to those Clients who's order was placed less than 60 days ago. 8.5 Any disputes related to Agreement will be solved by means of negotiations. If a dispute cannot be solved by negotiations, it shall be solved in Tartu County Court. 8.6 In case Agreement has been translated into some other language than English and there are contradictions between the English version and the translation, the English version shall prevail over the translation. |
